Niftie Platform — Service Agreement

These policies apply to all users of the Niftie platform, website, mobile applications, and pre-launch programme. If you have applied for the Niftie pre-launch programme, please pay particular attention to the pre-launch data sharing provisions set out in the Terms & Conditions and Privacy Policy. 1. Introduction & Acceptance

These Terms & Conditions ("Terms") govern your access to and use of the Niftie platform, including the web-based admin portal, iOS and Android mobile applications, APIs, and all related services (collectively, the "Service") provided by Niftie Ltd ("we", "us", "our").

By accessing or using the Service, registering an account, or submitting your details through our pre-launch sign-up form, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Pre-Launch Programme

2.1 What the Pre-Launch Programme Is Niftie is currently in a pre-launch phase. We are inviting a limited number of businesses to test the platform before its official public release in exchange for a 50% lifetime discount on paid plans.

2.2 Agreement to Data Sharing for Bug Fixing & Testing BY SUBMITTING YOUR DETAILS THROUGH THE PRE-LAUNCH SIGN-UP FORM, YOU EXPRESSLY AGREE TO THE FOLLOWING:

• Your account activity, usage data, error logs, device information, app performance metrics, and any data you input into the platform during the pre-launch period may be collected, accessed, reviewed, and used by Niftie Ltd and its authorised development and testing personnel.

• This data will be used for the purpose of identifying, diagnosing, and resolving bugs, errors, and performance issues, improving the platform's stability, functionality, and user experience, and refining features prior to the general public release.

• You consent to Niftie Ltd personnel accessing your account data, including booking records, staff records, customer records, and operational data that you enter into the platform during the pre-launch period, where necessary to investigate reported or detected issues.

• You acknowledge that the platform is not yet a production-ready product, and that bugs, data loss, downtime, or unexpected behaviour may occur. You agree to use the pre-launch version at your own risk.

• You agree to report bugs, errors, and feedback to Niftie Ltd when reasonably possible, to assist with the improvement of the platform.

• Pre-launch data sharing consent is a condition of participation in the pre-launch programme. If you do not consent, you must not participate in the pre-launch.

2.3 Pre-Launch Discount

Participants accepted onto the pre-launch programme will receive a 50% discount on their chosen subscription plan for as long as they remain a paying customer ("lifetime discount"). This discount is personal to the participating business, is non-transferable, and applies only while the account remains active and in good standing.

2.4 No SLA During Pre-Launch

During the pre-launch period, Niftie is provided on a best-efforts basis only. We do not guarantee uptime, reliability, data integrity, or any specific service level. No service level agreement (SLA) applies until the platform is officially released.

3. Eligibility & Account Registration

You must be at least 18 years old and acting on behalf of a legitimate business to use the Service. By registering, you represent and warrant that all information you provide is accurate and complete.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect any unauthorised access.

4. Permitted Use

You may use the Service only for lawful business purposes in connection with managing bookings, scheduling, and staff operations for your business. You must not:

• Use the Service to transmit unlawful, harmful, defamatory, or fraudulent content.

• Attempt to reverse-engineer, decompile, or extract source code from the platform.

• Use the Service in a manner that could overload, damage, or impair our systems.

• Share your login credentials with third parties outside your authorised team.

• Use the Service to process data in violation of applicable data protection laws.

5. Subscription, Billing & Cancellation

Access to Niftie after the pre-launch period will be subject to a subscription fee. Pricing details will be communicated prior to the end of the pre-launch phase. Subscriptions are billed in advance on a monthly or annual basis as selected.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for unused portions of a subscription period unless required by law.

We reserve the right to change pricing with at least 30 days' written notice to active subscribers.

6. Xero Integration

Niftie offers integration with Xero accounting software. By enabling this integration, you authorise Niftie to exchange data between your Niftie account and your Xero account for invoicing and administrative purposes. Use of Xero is subject to Xero's own terms and privacy policy.

7. Intellectual Property

All intellectual property rights in the Niftie platform, including software, design, trademarks, and content, are owned by or licensed to Niftie Ltd. These Terms do not grant you any rights in the platform's intellectual property other than the right to use the Service as described herein.

You retain ownership of all data you upload or input into the platform. By using the Service, you grant Niftie Ltd a limited licence to process your data as necessary to provide the Service and, during the pre-launch period, as described in Section 2.2 above.

8. Disclaimers & Limitation of Liability

The Service is provided "as is" and "as available". To the maximum extent permitted by law, Niftie Ltd disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by applicable law, Niftie Ltd's total liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you to Niftie Ltd in the twelve months preceding the claim.

Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under applicable law.

9. Termination

We may suspend or terminate your access to the Service at any time if you breach these Terms, engage in fraudulent activity, or if we reasonably believe your use of the Service poses a risk to us, other users, or third parties.

You may terminate your account at any time by contacting us at [email protected]. Upon termination, your right to use the Service ceases immediately.

10. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the platform. Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
